Terms governing access to and use of Rilla Docs.

In these Terms of Use (“Terms”), the expressions “we”, “us”, “our”, “Rilla Network” and “Rilla” refer to Tayga Labs Limited (company number 9063298), a company incorporated in New Zealand, with offices at 2 Chancery Street, Auckland 1010, New Zealand, as well as its subsidiaries, agents and assigns. Tayga Labs Limited operates the Rilla Network brand and the Rilla documentation portal at docs.rilla.network (“Rilla Docs”).

Please read these Terms carefully. By using Rilla Docs, you confirm your agreement to and acceptance of these Terms. We may amend these Terms from time to time by uploading any amendments to Rilla Docs. Your continued use of Rilla Docs will confirm your agreement to be bound by the Terms as amended. If you do not agree to these Terms, please do not use Rilla Docs.

By accessing or using Rilla Docs, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use Rilla Docs.

Full access to Rilla Docs is conditional upon your organisation having executed a valid Non-Disclosure Agreement (“NDA”) with us. These Terms operate in addition to, and do not supersede, any obligations under that NDA or any separate commercial agreement between your organisation and us.

Access to Rilla Docs is restricted to authorised personnel of organisations that have entered into a valid NDA or commercial agreement with us. Access is granted via authenticated link using a verified work email address.

By accepting these Terms, you represent and warrant that you have full legal authority to do so on behalf of your organisation and that your organisation is bound accordingly.

You represent and warrant that your access to and use of Rilla Docs is not prohibited or illegal under any laws applicable to you or your geographic location, and that you will comply with all applicable laws in connection with your use of Rilla Docs.

You must not share your access credentials or access link with any third party. You are responsible for all activity conducted through your account or access session.

Tayga Labs Limited reserves the right to suspend or revoke access at any time, without notice, if we reasonably believe these Terms or any associated agreement have been breached.

You must be acting in a professional capacity on behalf of your organisation. These Terms do not apply to, nor do they authorise, consumers accessing Rilla Docs or its content in a personal capacity.

All content made available on or through Rilla Docs (including via any hyperlinks to third-party websites) - including but not limited to technical documentation, SDKs or SDK references, integration guides, architecture materials, performance testing methodologies, trial design guidance, infrastructure and endpoint information, and any other materials (collectively, “Rilla Docs Content”) - is proprietary and confidential to Rilla Network.

Rilla Docs Content is provided solely in connection with the evaluation, integration and/or deployment of Rilla Network’s products and services strictly for your organisation’s internal testing purposes as permitted herein or under other valid licence from Rilla Network (the “Purpose”).

You must not, without our prior written permission (which may be withheld or withdrawn at our sole discretion):

  • Copy, reproduce, distribute, publish, or transmit any Rilla Docs Content to any third party for any unauthorised purpose;
  • Use Rilla Docs Content for any commercial purpose, or any business purpose other than the Purpose;
  • Use Rilla Docs Content to develop or assist in developing any competing product or service;
  • Input or submit Rilla Docs Content into any artificial intelligence, machine learning, or large language model tool or service;
  • Use data mining, robots, or similar data gathering tools in connection with Rilla Docs;
  • Remove, alter, obscure, frame, or enclose any of our proprietary notices, watermarks, confidentiality labels, trade marks, logos, or other proprietary information contained in or on any Rilla Docs Content;
  • Scrape, index, or systematically download Rilla Docs Content through automated means.

Nothing in these Terms grants you any licence to Rilla Network’s intellectual property beyond the limited right to access and use Rilla Docs Content for the purposes described in clause 3.2.

All intellectual property rights in and to Rilla Docs and Rilla Docs Content - including all software, documentation, trade marks, trade names, and technical materials - are owned by or licensed to Rilla Network and are protected by applicable intellectual property laws.

No intellectual property rights are transferred to you under these Terms or by your use of any Rilla Docs Content. Your right to use Rilla Docs Content is a limited, non-exclusive, non-transferable, revocable licence for internal business purposes only.

Any feedback, suggestions, or contributions you provide to us in connection with Rilla Docs, Rilla Docs Content, or our products and/or services may be used by us without restriction or obligation to you.

5. Software Packages and Distribution Channels

We may make certain software packages, SDKs, libraries, tools, and related materials (collectively, “Rilla Packages”) available in public or private repositories (“Rilla Repositories”) via one or more distribution channels including (without limitation) GitHub, npm, and Maven. The Rilla Repositories may require user authentication or be publicly accessible without authentication, at our discretion. We reserve the right to add, modify, or discontinue any distribution channel at any time without notice.

Not all distribution channels are actively maintained or publishing current releases. You are responsible for confirming that any Rilla Package you access, download, or integrate reflects the current recommended version as specified in the Rilla Docs Content.

Access to and use of Rilla Packages is subject to these Terms and any licence terms, notices, or documentation provided within the relevant repository or package. In the event of conflict between these Terms and any repository or package-level licence, these Terms shall prevail unless the repository or package-level licence expressly states otherwise.

Where Rilla Packages are made available via a publicly accessible channel, such public availability does not constitute a waiver of any confidentiality obligations applicable to the associated Rilla Docs Content, integration documentation, configuration materials, or credentials. Your obligations under Clause 3 continue to apply in full to all such associated materials.

Where access to Rilla Packages requires individual developer authentication, you must ensure that each person accessing such packages on your behalf is an authorised user bound by these Terms or by a written agreement with Rilla Network providing equivalent protections. You remain responsible for all access and activity conducted through accounts granted to your personnel.

Rilla Network makes no representations or warranties as to the availability, completeness, currency, or fitness for purpose of any Rilla Packages. Rilla Packages may be modified, updated, deprecated, or removed from any channel at any time without notice. The disclaimers in Clauses 6 and 7 apply in full to all Rilla Packages.

When using Rilla Docs, you must not:

  • Attempt to gain unauthorised access to any part of Rilla Docs or its underlying systems which you are not authorised to use;
  • Introduce any malware, viruses, or other harmful code;
  • Interfere with the operation, integrity, or security of Rilla Docs;
  • Use Rilla Docs or Rilla Docs Content in any way that violates applicable laws or regulations;
  • Impersonate any person or entity or misrepresent your affiliation with any organisation.

7. Accuracy of Information and Technical Requirements

We endeavour to keep Rilla Docs Content accurate and up to date, but we make no warranty - express or implied - as to the completeness, accuracy, reliability, or fitness for purpose of any Rilla Docs Content.

Rilla Docs Content is subject to change without notice. It is your responsibility to ensure you are relying on the most current version of any documentation.

Rilla Docs Content does not constitute legal, financial, or regulatory advice.

Pre-Release Software. Some or all Rilla Docs Content, SDKs, and associated software made available through or referenced by Rilla Docs may be designated as preview, beta, snapshot, or early-release versions (“Pre-Release Software”). Pre-Release Software is provided for evaluation and integration testing purposes only. It may contain errors, be incomplete, or change materially prior to general availability. Rilla Network makes no representations as to the stability, completeness, or fitness for production use or otherwise of any Pre-Release Software.

Experimental Features. Certain features or capabilities described in Rilla Docs Content may be designated as experimental. Experimental features are unsupported, subject to change or removal without notice, and must not be used in production environments unless we expressly advise otherwise in writing.

Technical Requirements. Rilla Network’s services and SDK are designed to operate in conjunction with specific technical configurations as described in the Rilla Docs Content, including but not limited to player configuration, CDN header exposure, content security policy whitelisting, and CMCD enablement. Rilla Network makes no warranty that its services will function correctly if such configurations are not implemented, or are not implemented correctly. You are responsible for ensuring your technical environment meets the requirements set out in the applicable integration documentation.

Cybersecurity. You are solely responsible for taking your own precautions against cybersecurity threats arising from your use of Rilla Docs, including the installation and execution of any SDK components. Tayga Labs Limited has no liability for any damage to your systems arising from use of Rilla Docs or any SDK or software referenced therein.

To the fullest extent permitted by law, Rilla Docs and all Rilla Docs Content - including any Pre-Release Software and experimental features - are provided “as is” and “as available”, without warranty of any kind. Rilla Network expressly disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by applicable law, Rilla Network shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of, or inability to use, Rilla Docs or any Rilla Docs Content.

In the event that Rilla is determined to have any liability to you notwithstanding clause 9.1, Rilla Network’s total aggregate liability to you in connection with these Terms and/or your use of Rilla Docs and/or Rilla Docs Content shall not exceed one hundred New Zealand dollars (NZD $100).

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

You indemnify, and will defend and hold harmless, Rilla Network and its officers, employees, agents, and assigns against all costs, losses, damages, and expenses (including reasonable legal costs) arising out of or in connection with your breach of these Terms and/or your use of Rilla Docs in violation of applicable law.

Rilla Docs may contain links to third-party websites or resources. These are provided for convenience only. Rilla Network does not endorse and is not responsible for, and expressly excludes all liability in relation to, the content, products, or services of any third-party sites.

Integration of Rilla Network’s SDK may require the use of third-party software, libraries, or services (including media players and CDN infrastructure). Rilla Network is not responsible for, and makes no representations regarding, any such third-party software. You are responsible for ensuring your use of any third-party software complies with its applicable licence terms.

Any personal data collected in connection with your access to Rilla Docs will be handled in accordance with our Privacy Policy, available at docs.rilla.network/privacy-policy. By using Rilla Docs, you consent to such processing and acknowledge that you have read and understood that Policy.

Certain components of the Rilla Packages may collect and transmit technical data relating to the end users of your application (“End-User Data”). This may include peer connectivity data, network topology information, Common Media Client Data (CMCD), and session identifiers.

You acknowledge that you are the data controller in respect of End-User Data collected via your application, and that Rilla Network processes such data as a data processor acting on your behalf and in accordance with Rilla Network’s Data Processing Agreement (“DPA”), available on request.

You are solely responsible for ensuring that your use of the Rilla Docs Content, the Rilla SDK, and any associated services, including the collection and transmission of End-User Data, complies with all applicable privacy and data protection laws in relevant jurisdictions, and that where applicable your end users are appropriately notified, informed, and (where required) their consent to collection of relevant End-User Data has been obtained.

You must not integrate the Rilla SDK into any application where doing so would result in the collection of End-User Data in violation of applicable law, or where you do not have a lawful basis for such processing.

Rilla Network reserves the right to update or modify these Terms at any time. We will notify authorised users of material changes via email or a notice on Rilla Docs. Continued use of Rilla Docs after any modification constitutes your acceptance of the updated Terms.

These Terms remain in effect for as long as you have authorised access to Rilla Docs.

Rilla Network may terminate or suspend your access at any time if you breach these Terms, your organisation’s NDA with us, or any associated agreement.

On termination, you must immediately cease using Rilla Docs and, upon request, return or destroy any downloaded Rilla Docs Content.

Clauses 3, 4, 7, 8, 9, 10, 12, 14, 15, and 16 survive termination of these Terms.

These Terms are governed by the laws of New Zealand. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand, unless otherwise agreed in writing between the parties.

Entire Agreement. These Terms, together with our Privacy Policy, any applicable NDA, Data Processing Agreement and/or other commercial agreement between us, constitute the entire agreement between you and Rilla Network in relation to your use of Rilla Docs.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Rilla’s failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future.

Priority. These Terms govern your access to and use of Rilla Docs. To the extent that your organisation has entered into any other written agreement with us in connection with the content, products, or services accessible through or described in Rilla Docs, including a Non-Disclosure Agreement, a Data Processing Agreement, or a commercial or enterprise agreement (each an “Overriding Agreement”), the following order of priority shall apply in the event of any conflict or inconsistency:

  1. the Overriding Agreement;
  2. these Terms.

For the avoidance of doubt, any obligation of confidentiality, data protection, or intellectual property protection that is more stringent under an Overriding Agreement than under these Terms shall prevail. These Terms shall not be construed to limit or derogate from any such obligation.
